INDEMNIFICATION AGREEMENT

1. Whereas, the Nantucket Island Chamber of Commerce, (hereinafter “the Chamber”) is holding a mock election to elect an Honorary Mayor for 2011, and,
2. Whereas, this Honorary Mayor will have no power whatsoever and is in no way to be construed or thought of as anything but a mock Honorary Mayor, and,
3. This election is merely a fundraising event designed to raise money for charitable causes, and,
4. The Candidates for this election fully understand the fictitious nature of the election and that the Office of Honorary Mayor IS NOT REAL, and,
5. The Town of Nantucket has absolutely no role, obligations, or privity with this matter, and,
6. The Candidate desires to run in said mock election,

Therefore, it is AGREED that:

The Candidate covenants and agrees that it will indemnify the Nantucket Island Chamber of Commerce and save it harmless from any and all costs, expenses, and damages to property or injury to persons, or both, arising out of or caused by any act, or omission, negligent or otherwise, of the Candidate or its agents, or servants, and also from such claims, demands or liability however arising or caused, resulting from the use of the demised premises by the Candidate, other than any such claims which are a result of the negligence of the Nantucket Island Chamber of Commerce and which are not the result of an intentional act of the Candidate.  In the event that any suit is instituted against the Nantucket Island Chamber of Commerce on any claim so arising, the Candidate shall defend the same at its own expense and pay any judgment rendered therein against the Nantucket Island Chamber of Commerce, or at the election of the Nantucket Island Chamber of Commerce, it may defend the same.  If Candidate refuses or neglects to so defend any and all actions upon the request of the Nantucket Island Chamber of Commerce, or if the Nantucket Island Chamber of Commerce elects to defend such action, the Candidate shall pay all costs, expenses and reasonable attorney’s fees the Nantucket Island Chamber of Commerce incurs in the defense of such action.
